1) Agreement to Terms

These Terms & Conditions (the "Terms") govern your access to and use of our website at teknoverse.net (the "Site") and Teknoverse SaaS services, including DispatcherLeads, AI TeknoBots, EzSchedulr, lc.teknoverse.net, and any other Teknoverse-branded offerings (collectively, the "Services"). By accessing or using the Site or Services, you agree to be bound by these Terms and our Privacy Policy (incorporated by reference). If you do not agree, do not use the Site or Services.

If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms and "you" and "your" will refer to that organization.

2) Eligibility

You must be at least 13 years old (or the age of digital consent in your location, 16 in the EU/UK) to use the Site and 18+ to enter into a subscription for the Services. The Site and Services are not directed to children.

3) Accounts; Security

To use certain features, you may need to create an account and provide accurate information. You are responsible for (a) maintaining the confidentiality of your credentials, (b) all activities that occur under your account, and (c) promptly notifying us of any unauthorized use. We may require multi-factor authentication and may suspend accounts for suspected abuse, fraud, or policy violations.

4) Orders, Subscriptions, Trials, and Payments

Plans & Billing. Access to paid features may require a subscription. You authorize us and our payment processors to charge your selected payment method for recurring fees, taxes, and any applicable overage or pass-through charges.

Auto-Renewal & Cancellation. Subscriptions renew automatically unless canceled in your account settings before the renewal date. You may cancel at any time; cancellations take effect at the end of the current billing period.

Trials. If offered, free trials convert to paid subscriptions unless canceled before the trial ends. Eligibility may be limited.

Refunds. Except where required by law, payments are non-refundable and non-creditable once the billing period begins.

Taxes. Fees are exclusive of taxes. You are responsible for all applicable taxes, duties, and governmental charges.

Chargebacks. Disputing a valid charge may result in suspension; we reserve the right to contest chargebacks.

5) Messaging (SMS/Text & Email) Program Terms

By providing your phone number and/or email and opting in, you agree to receive marketing communications from Teknoverse. Consent is not a condition of purchase.

• Providers: SMS via Twilio using A2P 10DLC long codes; email via Amazon SES.
• Message Frequency: approximately 3 messages per month for marketing; transactional messages may occur as needed.
• Opt-Out (SMS): Reply STOP to any message to opt out. Reply HELP for help.
• Opt-Out (Email): Use the Unsubscribe link in our emails.
• Rates: Message and data rates may apply.
• Delivery: Carriers are not liable for delayed or undelivered messages.

A2P Compliance. You agree not to use the Services to send illegal or prohibited content (including but not limited to hate, harassment, fraud, sexual content, illegal substances, or SHAFT content where prohibited). You must maintain documented consent for all recipients, honor opt-outs, and comply with carrier, CTIA, TCPA/CASL/GDPR and other applicable rules. We may suspend or terminate for excessive spam complaints, unlawful content, or policy breaches.

6) Acceptable Use Policy (AUP)

• Use the Services in violation of law or third-party rights;
• Send spam, deceptive, or abusive communications;
• Upload or transmit malware, scripts, or content that interferes with the Site/Services;
• Attempt to scrape, reverse engineer, or bypass security or rate limits;
• Misrepresent identity or affiliation;
• Infringe intellectual property or privacy rights;
• Use the Services to collect or process sensitive personal data without a written agreement covering such processing.

We may monitor use for compliance and may suspend or terminate access for violations.

7) Customer Data; Privacy

"Customer Data" means information submitted to or collected by the Services from or about you and your end users. You retain ownership of Customer Data. You grant Teknoverse a limited, worldwide, non-exclusive license to host, process, transmit, and display Customer Data solely to provide and improve the Services and as otherwise described in the Privacy Policy.

When we process Customer Data solely on your behalf, we act as a processor/service provider and will process such data per your instructions and our data protection terms. A Data Processing Addendum (DPA) is available upon request.

8) Third-Party Services

The Services may interoperate with or rely on third-party services (e.g., Twilio, Amazon SES, analytics tools, payment processors). We are not responsible for third-party services; their terms and privacy policies apply. Enabling integrations authorizes us to exchange data with those providers to the extent necessary for the integration.

9) Intellectual Property; License to You

Teknoverse and its licensors own all rights, title, and interest in and to the Site, Services, software, and content (excluding your Customer Data and User Content). Subject to these Terms and payment of applicable fees, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your internal business purposes during your subscription term.

You may not copy, modify, create derivative works of, distribute, sell, or lease any part of the Services, nor may you reverse engineer or attempt to extract the source code except to the extent laws prohibit restrictions or we give you written permission.

10) User Content & Feedback

If you submit content (e.g., reviews, comments, support tickets, prompts, configurations) ("User Content"), you grant Teknoverse a non-exclusive, worldwide, royalty-free license to use, reproduce, display, perform, adapt, and distribute such User Content to operate and improve the Services. You represent that you have all necessary rights to grant this license.

You may provide ideas, suggestions, or feedback ("Feedback"). You agree that we may use Feedback without restriction or compensation.

11) Availability; Modifications; Beta Features

We strive to keep the Services available but do not guarantee uninterrupted operation. We may modify, suspend, or discontinue features at any time. From time to time, we may offer beta, preview, or experimental features ("Beta"). Beta is provided "as is" without warranties and may be subject to additional terms.

12) Disclaimers

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEKNOVERSE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT CUSTOMER DATA WILL BE SECURE OR NOT LOST OR ALTERED.

13) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL TEKNOVERSE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEKNOVERSE’S TOTAL LIABILITY FOR ALL CLAIMS IN THE AGGREGATE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID BY YOU TO TEKNOVERSE FOR THE SERVICES IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) US $100.

Some jurisdictions do not allow certain limitations; in those cases, the limitations will apply to the maximum extent permitted.

14) Indemnification

You will defend, indemnify, and hold harmless Teknoverse and its affiliates, officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your User Content or Customer Data; (c) your violation of these Terms; or (d) your violation of any law or third-party rights.

15) Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles. The parties will first attempt to resolve disputes informally. If not resolved within 30 days, disputes will be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The seat of arbitration will be Illinois, and the language will be English. Class actions and class arbitrations are not permitted. Each party may seek injunctive relief in courts of competent jurisdiction to protect intellectual property or confidential information.

If arbitration is not enforceable for a claim, the exclusive jurisdiction and venue will be the state and federal courts located in Illinois, and both parties consent to personal jurisdiction.

16) Export & Sanctions

You represent that you are not located in, under the control of, or a national or resident of any country or entity subject to U.S. sanctions, and that you will not export or re-export the Services in violation of U.S. export laws and regulations.

17) Anti-Corruption

You will comply with applicable anti-bribery laws, including the U.S. Foreign Corrupt Practices Act (FCPA) and UK Bribery Act, and will not offer or accept bribes or improper payments.

18) Term; Termination; Suspension

These Terms remain in effect while you use the Site or Services. We may suspend or terminate access immediately for violations of these Terms, non-payment, legal risk, or harm to the Services or users. You may terminate by canceling your subscription and ceasing use of the Services. Upon termination, your license ends and you must stop using the Services.

19) Data Export; Deletion at Termination

During the subscription term and for 30 days after termination, you may export Customer Data in a commercially reasonable format from within the product (if available) or by contacting support. After that period, we may delete or de-identify Customer Data, except where retention is required by law or to resolve disputes.

20) Changes to Terms

We may update these Terms from time to time. Material changes will be posted on the Site (and, where required, we will notify you). Changes apply prospectively from the effective date. Your continued use after changes become effective constitutes acceptance.

21) Notices

We may provide notices via the Services, email, or by posting to the Site. You consent to receive electronic communications from us. Legal notices to Teknoverse must be sent to contact@teknoverse.net and, if requested, by mail to our registered address.

22) Miscellaneous

If any provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force. You may not assign these Terms without our prior written consent; we may assign to an affiliate or in connection with a corporate transaction. No waiver is effective unless in writing. These Terms (including any order forms and incorporated policies) are the entire agreement between you and Teknoverse regarding the Services and supersede prior agreements on the same subject.
